The following pages contain our Terms of Service, which govern all use of our Services.
The terms “Terms of Service”, “Terms of Services” or the term “TOS”, which is handled as a singular noun, refer to this document.
The terms “we”, “our”, “us”, "Noetik PC", "Noetik" or the "Company" mean or refer interchangeably to Noetik.
The term “SITE” as well as its plural form refers to noetik.eu websites and domains including all pages, sections and subdomains under the domains noetik.eu, noetik.gr, horecabooking.com, roundupsolutions.com
The terms “SERVICE” as well as its plural form, refer to (A) the use of the SITE for any reason and (B) to all services or products provided by Noetik through the SITE or otherwise.
All references to the words “you” and /or “User(s)” mean any person who accesses the SITE either as Registered User or as an anonymous user;
All references to the words “Client” and /or “Account” mean any person or legal entity who accesses a SERVICE after purchasing a license by Noetik;
The term “Content” refers to articles, data, graphic displays, pictures, articles, advertising, and all information, materials, and services (i) displayed in any website operated by Noetik or (ii) used for or by any SERVICE of Noetik.
By using the SITE and/or SERVICES, you are agreeing to be bound by the following terms and conditions. Any new features or tools which are added to the current SERVICES shall be also subject to the Terms of Service. You can review the most current version of the Terms of Service at any time here. Noetik reserves the right to update and change the Terms of Service by posting updates and changes to the website. You are advised to check the Terms of Service from time to time for any updates or changes that may impact you.
IF YOU DO NOT AGREE TO THIS TERMS OF SERVICE YOU ARE ADVISED TO LEAVE THIS WEB SITE NOW, AS FURTHER USE WILL AUTOMATICALLY BOUND YOU TO THESE TERMS AND CONDITIONS.
Occasionally we may, in our sole discretion, make changes to these Terms of Service. The current TOS are always available at the following URL: https://www.oss.gr/en/policies/terms/. By continuing to use the Service after those changes are made, you are expressing and acknowledging your acceptance of the changes.
You agree that all Content, contained in or made available by the SITE or via the SERVICES is protected by copyrights or other intellectual property and other proprietary rights and laws.
Noetik as the owner of the Site Content and/or the licensee (as the case may be) of the Site Content, has the rights, title and interest in all of the content, text, graphics, databases, designs, software, icons and hyperlinks on the SITE and SERVICES. As such our intellectual property is protected from infringement by domestic and international treaties and legislation.
(a) We do not claim any intellectual property rights or commercial rights over the material the Client provides to the SERVICES of Noetik. All material the Client upload remains to Client's ownership. If a Client wants to remove their content he/she can do so by deleting its account or by asking a Noetik representative to do so.
(b) By uploading images and text content or other information to a SERVICE, the Client agrees to allow Noetik to display and store them, and agrees that Noetik can, at any time, review all the content submitted by the Client to its SERVICE.
(c) The Client retains ownership over all content that the Client submits to Noetik SERVICES however, by making public this content (by sending a newsletter through eMailManager or by publishing hotel photos and descriptions through HORECAbooking), the Client agrees to allow others to view their content.
(d) We will not disclose the Client's confidential information to third parties, except as required in the course of providing our services. Confidential information includes any material or information provided by the Organizer to us which is not publicly known (e.g: eMailManager contacts database). Confidential information does not include information that: (i) was in the public domain at the time we received it, (ii) comes into the public domain after we received it through no fault of ours, (iii) we received from someone other than the Client without breach of our or their confidentiality obligations, or (iv) we are required by law to disclose.
(a) We reserve the right to modify or terminate the Services for any reason, without notice at any time.
(b) We reserve the right to refuse services to anyone for any reason at any time.
(c) We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
(d) Verbal or written abuse of any kind (including threats of abuse or retribution) of any customer, employee, member, or officer of Noetik will result in immediate account termination.
(e) We reserve the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that Noetik employees and contractors may also be Noetik customers/event organizers and that they may compete with you, although they may not use your confidential information in doing so.
Links to third party web sites may be displayed to the SITE or via the SERVICES. These links are provided solely as a convenience to you and not as an endorsement by Noetik Ltd of the contents on such third-party Web sites. Noetik Ltd is not responsible for the content of linked third-party sites and does not make any representations regarding the content or accuracy of materials on such third party Websites. If you decide to access linked third party Websites, you do so at your own risk.
(a) You expressly understand and agree that Noetik Ltd shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.
(b) In no event shall Noetik Ltd or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or this agreement (however arising including negligence). You agree to indemnify and hold us and (as applicable) our partners, subsidiaries, affiliates, partners, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
(c) Your use of the Service is at your sole risk. The Services are provided on an ”as is“ and ”as available“ basis without any warranty or condition, express, implied or statutory.
(d) Noetik Ltd does not warrant that the services will be uninterrupted, timely, secure, or error-free.
(e) Noetik Ltd does not warrant that the results that may be obtained from the use of the services will be accurate or reliable.
(f) Noetik Ltd does not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Services will be corrected.
The failure of Noetik Ltd to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Noetik Ltd and govern your use of the Service, superseding any prior agreements between you and Noetik Ltd (including, but not limited to, any prior versions of the Terms of Service).
Notices to you may be made via either email or regular mail to the address in Noetik's records. The Services may also provide notices of changes to this TOS or other matters by displaying notices or links to notices to you generally on the Services. All trademarks, trade names logos, brand names and service marks of Noetik, whether registered or unregistered, are the property of Noetik and are protected by the Greek, EU and international trademark laws. These trademarks include, without limitation, NOETIK, EMAILMANAGER, HORECABOOKING, HORECA BOOKING. In no event may any such assets be used in connection with any product or service that is not operated by Noetik Ltd, in any matter likely to cause confusion as to the source of the product or service or in any matter that discredits, disparages or misrepresents Noetik Ltd, its products and services. All other trademarks, trade names, brand names or logos appearing on this Website are the property of their respective owners.
This TOS and the provision of the Services to you are governed by the laws of Greece and the European Union.
The section titles in this TOS are for convenience only and have no legal or contractual effect.
